Russian company legislation involves a major change in legislation style and underlying economic policy. New Institutional Economics can provide insights in understanding these changes, and informed the legislation.

Russia suffers from rampant corruption, and little respect for rule of law, and economic outcomes have not been satisfactory. This context means that the impact of company law is likely to be undermined.
